Specific scope, pricing, responsibilities, timelines, and acceptance criteria are defined in proposals, contracts, or statements of work.
These terms support clear collaboration while Zoraen helps companies adopt, build, automate, and operate technology.
1. Scope
These Terms of Service govern access to and use of Zoraen websites, pages, content, Product Marketplace experiences, digital products, software consulting services, custom software delivery, automation work, infrastructure support, IT services, outsourcing, and related communication channels.
2. Zoraen Services
Zoraen may provide Software Consulting, IT consulting, business process automation, custom application development, systems implementation, product development, integrations, audits, security support, infrastructure guidance, managed platform services, Product Marketplace offerings, and IT or software outsourcing. The exact deliverables depend on the applicable commercial agreement.
3. Marketplace and Product Information
Product pages, marketplace listings, demos, feature descriptions, screenshots, pricing references, and technical explanations are informational unless expressly confirmed in a signed agreement. Availability, functionality, integrations, deployment model, and support levels may vary by product or implementation context.
4. Quotes and Commercial Proposals
Website content does not create a binding offer. Final scope, pricing, timelines, milestones, service levels, licensing, acceptance criteria, support terms, and responsibilities are defined only through proposals, statements of work, order forms, contracts, or other written commercial documents approved by the parties.
5. Client Responsibilities
Clients are responsible for providing accurate requirements, timely feedback, business context, authorized access to systems, legal rights to data and third-party platforms, valid credentials, technical contacts, and approvals required for delivery. Delays caused by missing inputs or external dependencies may affect timelines.
6. Third-Party Platforms and Integrations
Zoraen solutions may integrate with third-party services such as cloud providers, ERPs, CRMs, payment gateways, messaging tools, AI providers, authentication services, analytics platforms, and business APIs. Zoraen is not responsible for outages, policy changes, pricing changes, data handling, or technical limitations introduced by third-party vendors.
7. Access, Credentials, and Security
When project execution requires access to client systems, the client must provide authorized credentials and follow reasonable security practices. Zoraen may recommend access controls, backups, environments, or security measures, but the client remains responsible for approvals and ownership of its systems unless otherwise agreed.
8. Intellectual Property
Pre-existing assets, frameworks, libraries, templates, know-how, internal tools, product components, and proprietary methods remain the property of their respective owners. Deliverables created under a paid engagement are licensed or assigned according to the signed agreement. Open-source components remain subject to their own licenses.
9. Confidentiality
Both parties should protect confidential information shared during discovery, consulting, product evaluation, software development, support, audits, and operations. Confidential information may only be used for legitimate service delivery or as otherwise permitted by written agreement or law.
10. Acceptable Use
Users must not misuse Zoraen websites, products, demos, communication channels, or systems. Prohibited activity includes unauthorized access, disruption, scraping where not permitted, malicious uploads, infringement, abuse, fraud, reverse engineering where prohibited, or use that violates law or contractual obligations.
11. Warranties and Service Limitations
Zoraen provides services using commercially reasonable skill and care. Unless expressly stated in a signed agreement or required by law, website content, product information, demos, and services are provided on an as-is and as-available basis. Technology outcomes may depend on client inputs, third-party systems, operational constraints, and implementation scope.
12. Liability
To the maximum extent permitted by law, Zoraen is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, opportunity, or business interruption related to use of website content, products, consulting, third-party integrations, or services.
13. Suspension or Termination
Zoraen may suspend or terminate access to services, demos, products, or engagements when required by law, security risk, non-payment, misuse, breach of agreement, or operational necessity. Service engagements may also be terminated according to the corresponding contract.
14. Changes to These Terms
We may update these Terms as Zoraen services, products, marketplace offerings, delivery models, or legal requirements evolve. The most current version is published on this page with an updated effective date.
